TERMS OF USE

Effective Date: January 1, 2024

These Terms of Use ("Terms") govern your access to and use of the website, platform, and services (collectively, the "Platform") operated by Zunsoo ("Company," "we," "us," or "our"). By accessing or using our Platform, you ("User," "you," or "your") agree to be bound by these Terms and all applicable laws and regulations.

If you do not agree with these Terms, you must not use the Platform.

1. ELIGIBILITY

By registering or using the Platform, you represent and warrant that:

  • You are at least 18 years of age and competent to enter into a binding contract under the laws of India.
  • All information provided during registration is accurate, complete, and current.
  • You will maintain and promptly update your account information as necessary.

2. THE PLATFORM

Our Platform serves as a digital marketplace connecting:

  • Brands seeking to promote their products or services; and
  • Influencers who wish to collaborate and participate in brand campaigns.

The Company acts solely as an intermediary to facilitate such connections. The Company is not a party to any agreement entered into between a Brand and an Influencer and shall not be held responsible for any obligations, payments, deliverables, or disputes arising therefrom.

3. ACCOUNT REGISTRATION

To access certain features, you may be required to create an account by providing accurate and complete information.

You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activities that occur under your account.

You must immediately notify the Company of any unauthorized access or breach of security.

The Company reserves the right to suspend or terminate your account for any violation of these Terms.

4. BRAND ACCOUNTS

Brands may post campaign requirements, collaboration opportunities, and offers to influencers through the Platform.

Brands agree that:

  • Campaign listings must comply with all applicable laws and advertising regulations;
  • Payments to influencers shall be made in accordance with agreed terms;
  • The Company shall not be responsible for ensuring influencer performance or deliverables.

5. INFLUENCER ACCOUNTS

Influencers may register to create profiles, list their social media handles, and apply for campaigns.

Influencers agree that:

  • They shall provide authentic content, metrics, and engagement data;
  • They shall comply with campaign requirements and disclosure guidelines;
  • They shall not post misleading, offensive, or infringing material.

6. PAYMENTS AND FEES

If the Platform facilitates payments between Brands and Influencers, the following shall apply:

  • The Company may charge service fees or commissions for transactions conducted through the Platform;
  • All payments shall be processed via authorized payment gateways in accordance with Indian law;
  • The Company does not guarantee the performance of payment obligations by any party.

Taxes, if applicable, shall be borne by the respective parties as per prevailing regulations.

7. CONTENT OWNERSHIP AND LICENSE

Users retain ownership of the content they upload to the Platform. However, by posting or uploading content, you grant the Company a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content solely for the purpose of operating and promoting the Platform.

You represent and warrant that:

  • You have all necessary rights and permissions to post such content;
  • Your content does not infringe upon any third-party rights.

8. PROHIBITED CONDUCT

Users shall not:

  • Use the Platform for unlawful purposes or in violation of applicable laws;
  • Impersonate another person or entity;
  • Post false, misleading, or harmful content;
  • Interfere with the operation or security of the Platform;
  • Engage in spam, data scraping, or unauthorized access.

Violation of these rules may result in immediate termination of your account.

9. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in the Platform, including but not limited to software, design, text, graphics, logos, and trademarks, are owned by or licensed to the Company.

You are granted a limited, non-exclusive, non-transferable right to access and use the Platform for lawful purposes only.

You shall not reproduce, modify, distribute, or create derivative works based on any part of the Platform without prior written consent.

10. DISCLAIMER OF WARRANTIES

The Platform and services are provided on an “as-is” and “as-available” basis.

The Company makes no warranties or representations, express or implied, regarding:

  • The accuracy, completeness, or reliability of any information;
  • The availability or uninterrupted operation of the Platform;
  • The quality or performance of any user, influencer, or brand.

You acknowledge that your use of the Platform is at your sole risk.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to:

  • Your use or inability to use the Platform;
  • Any interactions, agreements, or disputes between brands and influencers;
  • Unauthorized access to or alteration of your data.

In no event shall the Company’s total liability exceed the amount of service fees paid by you, if any, in the 3 months preceding the claim.

12. TERMINATION

The Company may suspend or terminate your account at any time, without notice, for any violation of these Terms or for other reasons deemed necessary for Platform integrity.

Upon termination, all rights granted to you shall cease immediately.

13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of India.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from any claims, liabilities, damages, or expenses arising out of:

  • Your use or misuse of the Platform;
  • Your breach of these Terms;
  • Any violation of rights of third parties.

15. CHANGES TO TERMS

The Company reserves the right to modify these Terms at any time.

Updated versions will be posted on the Platform with the “Effective Date” revised accordingly.

Continued use of the Platform after any changes constitutes your acceptance of the new Terms.
